1. Agreement

These Terms of Service govern your access to and use of foxtrotllc.com and all content on it (the “Site”).

The Site is operated by Foxtrot LLC, an Arizona limited liability company with its registered office at 12112 N Rancho Vistoso Blvd, STE 100, Oro Valley, AZ 85755, United States (“Foxtrot”, “we”, “our”, “us”). We provide independent aircraft technical and consulting services to airlines, lessors, MROs and operators worldwide.

By accessing the Site you accept these Terms. If you do not accept them, do not use the Site. If you use the Site on behalf of an organisation, you confirm you have authority to bind that organisation, and “you” means that organisation.

2. The Site is informational

The Site describes our capabilities. Nothing on it is an offer capable of acceptance, a quotation, a warranty of performance, or a commitment to supply.

Any engagement is governed exclusively by a separate written agreement signed by both parties, such as a master services agreement, purchase order, statement of work, consultancy agreement or supplier contract (each a “Services Agreement”). Where these Terms conflict with a Services Agreement, the Services Agreement prevails for the subject matter it covers.

No client relationship, duty of care, or professional engagement is created by browsing the Site, submitting the contact form, or corresponding with us before a Services Agreement is signed.

3. Not technical, regulatory or professional advice

Content on the Site, including insights articles, press releases and service descriptions, is general information about our field. It is not:

  • approved or acceptable technical data for any aircraft type;
  • an airworthiness determination, inspection finding, release to service or repair approval;
  • advice on compliance with any requirement of the FAA, Transport Canada, EASA, the UK CAA or any other civil aviation authority;
  • legal, tax, insurance, valuation or financial advice.

Do not act on Site content in relation to a specific aircraft, record, transaction or regulatory matter. Obtain advice appropriate to the facts, from suitably licensed or authorised personnel, and work from the approved data and the operator’s own approved procedures. Responsibility for continuing airworthiness, dispatch and regulatory compliance rests with the operator or owner at all times.

4. Eligibility

You must be at least 18 years old and legally capable of entering a contract. The Site is intended for aviation professionals and organisations, not for consumers or children.

5. Permitted use

We grant you a limited, revocable, non exclusive, non transferable licence to access the Site and to view, download and print its content for your internal business purposes.

You must not:

  • copy, republish, resell, sublicense or commercially exploit Site content without our written permission;
  • scrape, crawl, harvest or use automated means to access the Site beyond ordinary search engine indexing;
  • use Site content to train, benchmark or improve a machine learning model without our written permission;
  • circumvent, probe or test the security of the Site, or access any area you are not authorised to access;
  • introduce malware, conduct a denial of service attack, or interfere with the operation of the Site;
  • misrepresent your identity, affiliation or authority, including implying an association with Foxtrot that does not exist;
  • remove or obscure any copyright, trademark or other proprietary notice;
  • use the Site in violation of any applicable law, export control or sanctions requirement.

We may suspend or terminate access at any time, with or without notice, if we reasonably believe this clause has been breached.

6. Submissions

Enquiries and business contact. Information you submit through the contact form or by email is handled in accordance with our Privacy Policy. Do not send confidential, export controlled or commercially sensitive material through the Site before a confidentiality agreement is in place.

Job applications. Applications submitted through our careers page are handled in accordance with our Privacy Policy. Submitting an application does not create an offer of employment or any obligation on us.

Unsolicited ideas. We do not accept unsolicited business proposals, product ideas or creative material. If you send them anyway, you grant us a perpetual, irrevocable, worldwide, royalty free licence to use them for any purpose without obligation, attribution or compensation, and you agree we owe you no duty of confidence in respect of them.

Your warranties. You warrant that anything you submit is accurate, is yours to submit, does not infringe a third party right, is not confidential to a third party, and is free of malware.

7. Accuracy of content

We take reasonable care with Site content, but capability descriptions, project examples, credentials, availability and published materials may change without notice and may not reflect current circumstances. Forward looking statements are not commitments.

8. Intellectual property

The Site and all content in it, including text, graphics, user interfaces, photographs, logos and their selection and arrangement, are owned by Foxtrot LLC or its licensors and are protected by copyright, trademark, trade secret and other laws.

“Foxtrot”, “Foxtrot LLC”, “Synops”, “synConnect” and “rectifAI”, together with associated logos, are trademarks of Foxtrot LLC. You may not use them without our prior written consent. Third party marks, including aircraft manufacturer and operator marks, are the property of their owners, and their appearance does not imply endorsement, affiliation or approval.

Except for the limited licence in section 5, no right or licence is granted, expressly or by implication.

9. Third party sites

The Site links to third party resources, including SAP Business Network, LinkedIn and synops.org. We do not control third party sites, do not endorse them, and are not responsible for their content, availability, security or practices. Access them at your own risk and under their terms.

10. Disclaimer of warranties

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOXTROT DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY AND NON INFRINGEMENT, AND ANY WARRANTY THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR FREE.

Some jurisdictions do not allow the exclusion of implied warranties, so parts of this section may not apply to you.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOXTROT AND ITS OFFICERS, MEMBERS, EMPLOYEES, CONTRACTORS AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, AIRCRAFT UTILISATION OR BUSINESS INTERRUPTION, ARISING FROM OR RELATING TO THE SITE, WHETHER IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED US DOLLARS (USD 100).

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded.

Liability arising under a Services Agreement is governed by that agreement, not by this section.

12. Indemnity

You will indemnify and hold harmless Foxtrot LLC and its officers, members, employees, contractors and agents against any claim, loss, liability, damage, cost and expense, including reasonable legal fees, arising from your breach of these Terms, your misuse of the Site, your submissions, or your violation of any law or third party right.

13. Export control and sanctions

Our services, technical data and deliverables are subject to United States export control and economic sanctions laws, including the Export Administration Regulations, the International Traffic in Arms Regulations where applicable, and the regulations of the Office of Foreign Assets Control, and to comparable laws in other jurisdictions.

You represent that you are not located in, organised under the laws of, or ordinarily resident in a country or territory subject to comprehensive sanctions, that you are not a restricted or denied party under any applicable list, and that you will not export, re-export or transfer access to the Site or any material obtained from it in violation of those laws.

14. Anti-bribery and trade compliance

You agree to comply with the US Foreign Corrupt Practices Act, the UK Bribery Act, Canada’s Corruption of Foreign Public Officials Act and equivalent laws, and not to offer or accept any improper payment in connection with the Site or any dealing with us.

15. Privacy

Your use of the Site is also governed by our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference.

16. Suspension, termination and survival

We may modify, suspend or discontinue the Site or any part of it at any time. You may stop using the Site at any time.

Sections 3, 6, 8, 10, 11, 12, 13, 17 and 18 survive termination.

17. Governing law and disputes

These Terms are governed by the laws of the State of Arizona, United States, without regard to conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Informal resolution first. Before commencing proceedings, you agree to send a written description of the dispute to legal@foxtrotllc.com and to negotiate in good faith for 30 days.

Venue. If the dispute is not resolved, the state and federal courts located in Pima County, Arizona have exclusive jurisdiction, and you consent to personal jurisdiction and venue there.

No class actions. To the extent permitted by law, disputes will be brought only in an individual capacity, not as a plaintiff or class member in a class, collective or representative action.

Limitation period. Any claim arising from the Site must be brought within one year after it arises, or it is permanently barred, except where a longer period is required by law.

Mandatory consumer protection rights in your country of residence are not affected.

18. General

Entire agreement. These Terms, together with the Privacy Policy and Cookie Policy, are the entire agreement between you and us regarding the Site, and replace all prior understandings about it.

Severability. If a provision is held unenforceable, it is modified to the minimum extent necessary or severed, and the remainder stays in force.

No waiver. Failure to enforce a provision is not a waiver of it.

Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition, financing or sale of assets.

Force majeure. We are not liable for failure or delay caused by events beyond our reasonable control.

No agency. Nothing here creates a partnership, joint venture, agency or employment relationship.

Notices. Notices to us go to legal@foxtrotllc.com and to the postal address below. Notices to you may be sent to the email address you provided or posted on the Site.

Language. These Terms are written in English. Any translation is provided for convenience, and the English version controls.

19. Changes to these Terms

We may revise these Terms. We will update the effective date and version at the top of this page, and for material changes we will give at least 14 days notice on the Site or by email before they take effect. Continued use after the effective date of a change indicates acceptance. If you do not accept a change, stop using the Site.

If you believe content on the Site infringes your copyright, send a notice under the Digital Millennium Copyright Act to legal@foxtrotllc.com with the information required by 17 U.S.C. section 512(c)(3), including identification of the work, identification of the material, your contact details, a good faith statement, and a statement under penalty of perjury that you are authorised to act.
